Indemnity / Liability Waiver

1. Acknowledgment of Research Use Only

By purchasing research compounds from Chroma23, I, the undersigned customer (“Customer”), acknowledge and agree that: 

  • All products are strictly for laboratory research purposes only and are expressly prohibited from human consumption, veterinary use, or any diagnostic or therapeutic purpose.

  • These products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body.

  • It is my sole responsibility to handle, store, and use these compounds in compliance with all applicable laws, safety protocols, and industry best practices, including maintaining appropriate storage conditions, security measures, and documentation of all research uses.

  • I acknowledge that failure to comply with these terms voids all Chroma23 obligations under this agreement.

2. Age Verification & Legal Compliance

I confirm that I am at least 18 years of age and legally permitted to purchase research compounds in my jurisdiction.

  • I acknowledge that Chroma23 does not sell products to individuals under 18 years old, and I agree to provide valid government-issued identification upon request.

  • I am solely responsible for complying with any applicable local, state, or federal regulations regarding the purchase, possession, and use of these compounds.

3. No Medical Claims & No Warranties

  • Chroma23 makes no medical claims, express or implied, about the safety, effectiveness, or intended use of its products.

  • No guarantees or warranties are provided regarding research outcomes, product efficacy, or results.

  • All products are sold “as is” without express or implied warranties of merchantability or fitness for a particular purpose.

4. Assumption of Risk & Release of Liability

By purchasing, possessing, or using products from Chroma23, I assume all risks and agree that:

  • Chroma23 is not liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages arising from any use, misuse, improper storage, handling, or disposal of its products, regardless of whether Chroma23 has been advised of the possibility of such damages.

  • I waive any legal claims against Chroma23, its officers, employees, and affiliates related to the purchase or use of these research compounds.

  • I accept full responsibility for ensuring compliance with all applicable laws and regulations.

5. Indemnification

I agree to indemnify and hold harmless Chroma23, its officers, employees, and affiliates from any:

  • Claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees), fines, penalties, and regulatory actions resulting from my purchase, possession, storage, handling, use, or disposal of these compounds, or any violation of this agreement.

  • Legal actions arising from misuse, injury, property damage, or third-party claims related to these products.

6. Binding Agreement & Governing Law

  • This agreement is binding upon myself, my heirs, executors, administrators, successors, and assigns.

  • Severability : If a court finds any provision of this agreement invalid or unenforceable, the remainder of this agreement shall be interpreted to best effect the intent of the parties.

  • This Agreement and its interpretation are governed by the laws of the state of California, USA .

  • All disputes arising under this agreement shall be resolved in the state or federal courts located in Orange County, California , without regard to principles of conflict of laws.

7. Electronic Acceptance

By proceeding with my purchase, I confirm that I have read, understood, and voluntarily agree to this Indemnity Waiver Agreement.

  • I acknowledge that my electronic acceptance constitutes a valid and binding signature under applicable law.

  • I further agree that a printed version of this agreement shall be admissible in judicial or administrative proceedings.
